NON-DISCLOSURE AGREEMENT
保密协议
NOW THE PARTIES HEREBY AGREE AS FOLLOWS:
为此，双方达成协议如下：
1) Confidential Information shall not include any information that:
1. 机密信息不得包括下列任何信息：
- Is in the possession of the Receiving Party prior to receipt from the Disclosing Party;
a) 接收方从披露方收到信息之前所持有的信息；
- Is now or subsequently becomes publicly known, otherwise than as a consequence of a breach of this Agreement by the Receiving Party;
b) 当前或以后公诸于众的信息，因接收方违反协议除外；
- Is developed independently by the Receiving Party;
c) 接收方独立获得的信息；
- Is known to the Receiving Party from a source other than the Disclosing Party; or
d) 接收方从第三方得知的信息
- Is disclosed by the Receiving Party to satisfy a legal demand by a competent court of law or tribunal or governmental or regulatory body (hereinafter collectively referred to as “Regulatory Authority”), provided however that in these circumstances the Receiving Party shall, unless prohibited by law or regulation, promptly notify the Disclosing Party of such demand and afford the Disclosing Party the opportunity to seek appropriate protective order relating to such disclosure.
e) 为满足管辖法院、法庭、政府机构或管理机构（以下统称管理机构）的合法要求而由接收方披露的信息，但是条件是，在此类情况下，接收方应将此要求及时通知披露方，并给披露方提供时机来获得适当的与此披露相关的保护令，法律或法规禁止除外。
2) The Disclosing Party shall provide the Receiving Party with all information including the Confidential Information relating to the Purpose.
2. 披露方应该向接收方提供所有信息，包括与目的相关的机密信息。
3) The Receiving Party shall treat the Confidential Information as strictly confidential and shall not without the prior written consent of the Disclosing Party disclose or reveal the Confidential Information to any person or use the Confidential Information for any purpose other than the Purpose set out in this Agreement.
3. 接收方应该把机密信息当作绝密，未经披露方事先书面同意，不得向任何人披露或泄漏机密信息，或将机密信息用于本协议规定外的目的。
4) Notwithstanding the above, the Disclosing Party agrees that the Receiving Party may disclose the Confidential Information to those of its own officers/employees (including those within its group of companies), professional advisors, agents, consultants and also to insurers/re-insurers, who require the same for fulfillment of the Purpose. Each officer/employee, professional advisor, agent, consultant and insurer/re-insurer to whom the Confidential Information is to be disclosed shall be advised by the Receiving Party of the confidentiality and require them to observe and treat the same in strict confidence and utilise it solely for the Purpose for which the Confidential Information is disclosed.
4. 虽有前述规定，披露方同意，接收方可将机密信息披露给其员工（包括公司集团内的员工）、专业顾问、代理商、顾问、保险公司或再保险公司，他们要求同样履行目的。机密接收方应向接受机密信息披露的每位员工、专业顾问、代理商、顾问、保险公司及再保险公司提供建议，要求他们遵守并同样对待绝密，以及只能将机密信息用于所披露的目的。
5) The Receiving Party shall notify the Disclosing Party immediately upon discovery of any unauthorised use or disclosure of the Confidential Information.
5. 一经发现机密信息未经授权使用或披露，接收方应立即通知披露方。
6) Upon written demand of the Disclosing Party, the Receiving Party shall return or destroy all documents containing the Confidential Information and all copies, abstracts, extracts, samples, notes or modules thereof to the Disclosing Party within 14 days after receipt of the notice.
6. 应披露方书面要求，接收方在收到通知的14天内，应归还或销毁包含披露方的机密信息及其所有副本、摘要、摘录、样本、说明或模块的所有文件。
